Telefónica Deutschland Holding AG successfully completes cash capital increase - Gross proceeds of approximately EUR 3.6bn - Take-up of 99.92% equaling 1,116,068,883 rights Telefónica Deutschland Holding AG has completed the cash capital increase it announced on 8 September 2014. The take-up quota for the offered new shares amounts to 99.92%, equaling 1,116,068,883 rights, demonstrating strong investor support for the rights issue. The majority shareholder Telefonica S.A. exercised all of their respective rights. The new shares were offered in a ratio of 1:1 at a subscription price of EUR 3.24 per share. The new shares not placed as part of the subscription offer will be dribbled-out through sales in stock exchange transactions or otherwise today and in the following days by the Joint Bookrunners involved in the rights offering. The newly issued no par value bearer shares have a notional value of the companies share capital of EUR 1.00 per share. The company's share capital is increased by issuance of 1,116,945,400 new shares from EUR 1,116,945,400 by EUR 1,116,945,400 to EUR 2,233,890,800 . The new shares are fully entitled to dividends for the current financial year starting 1. January 2014. The gross proceeds from the capital increase amount to approximately EUR 3.6 billion. The new shares are expected to be included in the existing quotation for the company's listed bearer shares on the Frankfurt Stock Exchange on September 25, 2014. In connection with the acquisition of E-Plus, issuance of further 740,664,193 new shares stemming from a capital increase against contribution in kind is planned with exclusion of the subscription rights of existing shareholders. Such shares coming from the capital increase against contribution in kind will be issued to KPN as part of the consideration for the acquisition of E-Plus.
